Agreement

  1. You must accept these terms and conditions (the “License”) prior to submitting your film (the “Submission”) to be considered for use in connection with the Shelter Shorts program (“Shelter Shorts”). This license is a binding agreement between you, on the one hand, and Sugar23, Inc., Short of the Week, LLC, Max McGillivray and Lance Oppenheim (the “Licensees”), on the other hand, and governs the rights and obligations of the parties hereto. If you disagree with any part of this License, then you may not submit your film to Shelter Shorts
  2. You hereby grant to each of the Licensees a free, non-exclusive license to exhibit (in whole or in part), reproduce (solely for the purposes set forth in this License) and distribute the Submission on www.sheltershorts.com (the “Website”), the Short of the Week website (www.shortoftheweek.com), the Sugar23 website (www.sugar23.com), and the other websites and social media accounts of the Licensees (collectively, the “Platforms”). You further grant each of the Licensees the right to modify the Submission in any manner, including, without limitation, removing objectionable or obscene material, and you and your heirs hereby waive any “moral rights” that you may have in the Submission with respect thereto. Each of the Licensees may, in its sole discretion, create excerpts of your Submission which it may distribute via the Platforms for promotional purposes. All of the licenses and grants set forth in this paragraph are known as the “Rights.”
  3. This grant of Rights by you is not revocable until the earlier to occur of (i) thirty (30) days after the first exhibition by the Licensees of the Submission, or (ii) ninety (90) days after you upload the Submission to the Program. To terminate this License you must send an email requesting termination to legal@sheltershorts.com. It is your sole obligation to terminate the License and the Licensees may exploit the License and the Rights without obligation or liability to you in perpetuity unless it receives a valid termination notice from you. Upon termination, the Licensees shall remove your Submission from the Platforms where it appears in whole. Notwithstanding the forgoing, the Licensees shall have no obligation to remove excerpts or clips of your Submission from their social media accounts, nor shall they have any obligation to seek out and remove any copies of the Submission (whether copied in whole or in part) created and/or distributed from the Platforms by third parties. Termination of the License will not be effective until ten (10) business days after receipt of a valid termination notice from you.
  4. Notwithstanding anything to the contrary, the Licensees shall have no obligation to use your Submission or exploit the Rights in any manner.
  5. You represent and warrant as follows: (a) you have the authority to grant the Rights and enter into this License; (b) the Submission is original with you and will not infringe upon the copyright, trademark, rights of privacy, rights of publicity, or any other rights of others (including, without limitation, any person, entity, or organization); (c) you have obtained the consent of all persons appearing in your Submission and will provide written copies of such consents upon the request of any Licensee; and (d) your Submission will comply with all applicable laws and regulations of the jurisdiction in which you reside or are sheltering at the time the Submission is submitted to the Program, and the laws of the State of California and the United States of America.
  6. You acknowledge and agree that any liability of a Licensee hereunder or in any other way relating to the Submission shall be several and not joint.
  7. You hereby agree that the laws of the State of California, United States of America, shall govern this License without reference to the principles of conflicts of law. You further consent to the sole and exclusive jurisdiction of the Federal and State courts situated in Los Angeles County, California, to resolve any dispute that may arise from this License.
  8. The terms of this License are in addition to, and shall not derogate from, the Terms of Service for the Website.
